Shareholder Resolution Service

  • Last year, we used SI2 service but we had trouble with timing because they did not have resolutions over winter break, so we had very few resolutions available.
  • New service had nicer interface, SI2 was supposed to be easier to use, more diversity in resolutions we would see. That did not occur last year.
  • We will switch back to the old service (EthVest), which has more resolutions and they come in sooner

Proxy Voting

  • Function of Proxy Voting for Resolutions: Some pre-approval categories
  • Justification for voting against management recommendation to the Investment Committee: As an investor, why would we do this?

Debrief of meeting with Investment Committee

  • Reading of report
  • Questions from Investment committee involved investment engagement, ESG principles, why divestment?
  • They will get back to us before the end of the term about their decision
  • ESG is either a fiduciary financial decision or it is a way of identifying good, well-behaving companies (guiding your investment choices)
