First the CRIC members discussed the shareholder resolutions that they found for their assigned companies. So far, only a few resolutions are available, and all have to do with transparency regarding executive compensation. The CRIC has not yet decided whether it will make a recommendation on executive compensation-related resolutions. The committee intends to post the survey results from last spring on the website, as well as last year’s final report. Members can also begin to look at arguments for and against resolutions from old proxy statements on company websites. Furthermore, the committee discussed the possibility of getting access to new databases for information on companies’ behavior and shareholder resolutions such as Si2 and Conflict Risk Network. However, having access to these is expensive, and the committee plans to discuss this issue further next week. In order to have recommendations ready for the Board of Trustees by their meeting in February, CRIC members will have to look for shareholder resolutions over break. That way, the committee will be able to assemble and narrow down a list of proposals to recommend during the term’s first meeting. To make keeping track of resolutions easier, members can sign up for automatic updates when new proposals come out. The committee would also like to work out everyone’s schedules and arrange a meeting time before the beginning of winter term. Next Wednesday, November 18, at 3:30pm will be the term’s last meeting. Both Fred Rogers and Jason Matz will be there.
